These Terms and Conditions (the “Terms”) for Ascent Tech Hub Africa’s Affiliate Programme (the “Programme”) govern the referral of new students to Ascent Tech Hub Africa Nig. Ltd (“Ascent Tech Hub Africa”) and the eligibility and participation of Ascent Tech Hub Africa’s current students and partners in the Programme.

By participating in the Programme, eligible participants acknowledge and agree to adhere to these Terms.

All personal data collected and processed during the Programme will be managed in accordance with Ascent Tech Hub Africa’s Privacy Policy.

1. Eligibility

   1. To participate in the Programme, a person must either be:
      1. a registered user on Ascent Tech Hub Africa’s enrolment portal; or
      2. one of Ascent Tech Hub Africa’s approved content or community partners.

2. The Referral Process

   1. Upon Ascent Tech Hub Africa confirming an Affiliate’s eligibility, the Affiliate will receive a personalised referral code and any necessary referral materials.
   2. Referral codes and materials are non-transferable and must not be sold or exchanged.
   3. Ascent Tech Hub Africa retains all intellectual property in the Programme and may limit or revoke access to referral codes and materials at its sole discretion.
   4. Referral codes may be shared only with individuals who have never enrolled in any course on Ascent Tech Hub Africa’s platform (each a “Referred Party”). To qualify as a Referred Party, the recipient must use the code to sign up for a course and be successfully onboarded as a student. A recipient will not qualify as a Referred Party if they:
      1. are not eligible to enrol in any course on Ascent Tech Hub Africa’s platform; or
      2. have been previously suspended as a learner on Ascent Tech Hub Africa’s platform.

3. Rewards

   1. For each successful referral and onboarding of a Referred Party who pays the full course fee, the Affiliate earns a flat reward of $10 (ten US dollars).
   2. If the Referred Party receives a scholarship that covers the course fee (in whole or in part), the Affiliate's reward will be reduced by 40% of the standard reward — resulting in $6 (six US dollars) per referred party.
   3. All earned rewards shall be paid into the Affiliate’s designated bank account or other supported payout method.
   4. Referral payouts are processed at the end of each month.
   5. Affiliate rewards may be subject to local income tax laws in the Affiliate’s country of residence. Affiliates are responsible for any transaction fees and all taxes arising from rewards received under the Programme.

4. Use of Trademarks

   Affiliates may use Ascent Tech Hub Africa’s trademarks solely for referral activities and strictly in accordance with Ascent Tech Hub Africa’s brand guidelines and policies. These Terms do not grant any ownership or other intellectual property rights in Ascent Tech Hub Africa’s trademarks or content.

5. Liability

   Ascent Tech Hub Africa’s liability to any Affiliate for damages under the Programme is limited to the total rewards paid or payable to such Affiliate in the three (3) months immediately preceding the event giving rise to the claim.

   Ascent Tech Hub Africa shall not be liable for consequential, indirect, special, or punitive damages, or loss of profits or revenue.

   Ascent Tech Hub Africa takes reasonable measures to secure its platform (including password protection and encryption). The Affiliate is solely responsible for maintaining the confidentiality of account credentials, passwords, and one-time passwords (OTPs).

   Ascent Tech Hub Africa shall not be liable for unauthorised access arising from the Affiliate’s loss, disclosure, or sharing of credentials/OTPs. The Affiliate must promptly notify Ascent Tech Hub Africa of any unauthorised use or security breach.

6. Termination

   1. Ascent Tech Hub Africa may modify or terminate the Programme at any time. Affiliates may withdraw from the Programme at any time and for any reason.
   2. Any violation of these Terms may result in immediate removal from the Programme and forfeiture of accrued rewards.

7. Governing Law and Dispute Resolution

   1. These Terms are governed by the laws of the Federal Republic of Nigeria.
   2. Disputes that cannot be amicably resolved within thirty (30) days shall be referred to Arbitration at the Lagos Court of Arbitration (LCA) before a single arbitrator under the Arbitration and Mediation Act, 2023.
   3. The Parties shall use best efforts to agree on an arbitrator within ten (10) days of a request; failing which, the LCA shall appoint one. Proceedings shall be conducted in Lagos.
   4. The arbitrator shall endeavour to render a written, reasoned award within ninety (90) days. The award shall be final and binding.
   5. Each party shall bear its own costs; the arbitrator’s fees shall be shared equally.

8. Entire Agreement

   These Terms constitute the entire understanding between each Affiliate and Ascent Tech Hub Africa regarding the Programme. No other agreements, representations, or warranties are binding unless made in writing and signed by both parties.

9. Changes

   Ascent Tech Hub Africa reserves the right to modify these Terms at any time without prior notice. Continued participation after changes take effect constitutes acceptance of the updated Terms.
